Terms of Service
These terms are the agreement between you and the operator of Utabox (utabox.app). We've tried to write them so they're easy to read. By creating an account or using Utabox, you agree to them, together with our Privacy Policy, Acceptable Use Policy and Copyright Policy.
Who we are
Utabox is operated by an individual developer based in Japan. You can reach us at support@utabox.app.
In these terms, “we” and “us” means the operator of Utabox, and “you” means the person using it.
What Utabox does
Utabox helps you make songs with AI. You describe an idea, write lyrics or share a story, and we generate lyrics, music and related media such as covers and lyric videos.
Results come from machine-learning models, including models run by third-party providers. They can be unexpected, imperfect or similar to other material, and we can't promise any particular result.
We may change, add or remove features, models and limits over time. Features marked as previews or “coming soon” may change or stop.
Who can use Utabox
You must be at least 13 years old, or 16 where the law where you live sets that as the minimum age for using online services without a parent's consent.
If you're under the age of majority where you live, you need a parent or guardian's permission, and they agree to these terms on your behalf.
Your account
You sign in with Google or with a one-time code sent to your email. Keep that email account secure: you're responsible for what happens under your Utabox account. If you think someone else has used it, tell us at support@utabox.app.
Give accurate information and keep your email address current. One person, one account.
Credits and plans
Making songs and edits uses credits. The Free plan gives you a daily allowance that resets each day and doesn't carry over.
Credits have no cash value and can't be sold or transferred. When a generation or edit fails, we return its credits automatically.
Paid plans aren't available yet. Before you can buy one, we'll show the price, what's included, and the billing, cancellation and refund terms, which will then apply to that purchase.
Your content
“Your content” is what you put into Utabox: prompts, lyrics, stories, photos, style descriptions, messages to the assistant and anything you upload. You keep whatever rights you have in it.
You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, adapt and display your content as needed to run Utabox for you. That includes sending it to our AI providers to make your songs and, for songs you make public, showing them to others. The licence ends when you delete the content or your account, except for copies we must keep by law or that remain in backups for a limited time.
You promise that you have the rights needed for everything you submit, and that it follows our Acceptable Use Policy.
Songs you make
“Output” means the lyrics, audio, covers, videos and other material Utabox generates for you. We don't claim ownership of your output. To the extent we have any rights in it, we assign them to you, subject to these terms.
When you make a song, you choose which AI model makes it: Google's Lyria, MiniMax, ElevenLabs, or the editable model (Suno-based, provided through aimusicapi). What you may do with the output depends on your plan and on that model:
- On the Free plan, output is for personal, non-commercial use only — for example sharing it with friends and family, or posting it on your own social accounts without earning money from it.
- Commercial use (ads, monetised videos or streams, products, client work, or releasing on streaming services) is allowed only where both your plan and the underlying model allow it.
- Rights can differ by plan and by model. We show them next to each model when you choose it, and again when you download.
In some countries, material made by AI may not be protected by copyright, and similar output can be generated for other people. We can't guarantee that your output is unique or that you'll be able to register or enforce rights in it.
Generated audio may carry an inaudible watermark (such as Google's SynthID) that marks it as AI-generated. Don't remove or tamper with watermarks or AI labels, and follow the rules of any platform where you publish about disclosing AI-generated content.
Sharing
Songs are private until you share them. When you make a song public, anyone with the link can play it and see its title, lyrics and your profile name, and it may appear on Explore and on your profile.
You can make a song private again at any time. Copies other people already made are outside our control.
Rules
You must follow our Acceptable Use Policy. In short: don't infringe other people's rights, don't impersonate real artists or people, don't make illegal or hateful content or anything sexual involving minors, and don't misuse or attack the service.
Our service
Utabox's software, design, name and logo belong to us or our licensors. These terms only give you the right to use the service as intended.
If you send us feedback or ideas, we may use them without any obligation to you.
Third-party services
Utabox relies on other companies, including Google for sign-in, hosting and storage providers, and AI model providers. Their services can change or become unavailable, which may affect features. Their own terms may apply to how you use them — for example Google's terms when you sign in with Google.
Suspension and closing your account
You can stop using Utabox at any time and delete your account in Settings, or ask us to by emailing support@utabox.app.
We may remove content, limit features, or suspend or close an account if we reasonably believe it breaks these terms or the law, puts others at risk, or if we're required to. Where reasonable, we'll tell you why and give you a chance to respond.
If we ever shut Utabox down, we'll try to give you reasonable notice so you can download your songs.
No warranties
Utabox is provided “as is” and “as available”. To the extent the law allows, we make no promises, express or implied, about the service or its output — including that it will be available without interruption, be fit for a particular purpose, be accurate, or not infringe anyone's rights.
Nothing in these terms takes away rights you have as a consumer that the law doesn't allow to be excluded.
Limits on liability
To the extent the law allows, we aren't liable for indirect, incidental, special or consequential damages, or for lost profits, data or goodwill. Our total liability for any claim relating to Utabox is limited to the greater of what you paid us in the 12 months before the claim and 50 US dollars.
These limits don't apply where the law doesn't allow them — for example for death or personal injury caused by negligence, for fraud, or for our intentional misconduct or gross negligence. If you're a consumer, the mandatory consumer-protection laws of the country where you live still apply.
Responsibility for your content
If someone makes a claim against us because of content you submitted, or because you used output in a way these terms don't allow, you agree to cover our reasonable costs of dealing with it, to the extent the law allows.
Changes to these terms
We may update these terms. If a change matters, we'll tell you in the app or by email before it takes effect. If you keep using Utabox afterwards, the new terms apply; if you don't agree, you can stop using it and delete your account.
Law and disputes
Please contact us first — most problems can be solved by email.
These terms are governed by the laws of Japan, and the Tokyo District Court is the court of first instance. If you're a consumer (for example in the EU or UK), this doesn't take away the protection of the mandatory laws of the country where you live, or your right to bring a claim in the courts there.
General
If part of these terms can't be enforced, the rest still applies. If we don't enforce a term right away, we haven't given it up. You can't transfer your rights under these terms; we may transfer ours to someone who takes over Utabox, and we'll tell you if that happens.
These terms and the policies they mention are the whole agreement between us about Utabox. They're available in several languages; if a translation differs, the English version applies unless the law where you live says otherwise.
